In 2007, some of our team members advised on the divestment of Orascom Construction Industries’ cement business (sell-side) to LaFarge for USD12.8 billion in one of the biggest M&A transactions in the Middle East.

In 2013, members of our team advised on the takeover by OCI N.V. of the entire share capital of Orascom Construction Industries on the London (GDRs) and Egyptian stock exchanges, as well as listing the shares of OCI N.V. on the Euronext stock exchange. To consummate this transaction, OCI N.V. launched a mandatory tender offer to buy the entire share capital of Orascom Construction Industries on the Egyptian Exchange (EGX), in one of the largest (by value) mandatory tender offers in the history of Egypt.

And In 2015, some of our team members advised on the spinning-off of OCI N.V.’s Orascom Construction PLC business, as well as the listing and offering of the spun-off shares on NASDAQ Dubai and the Egyptian stock exchanges in the first dual listing in Egypt. As part of the Egyptian Offer, Orascom Construction PLC raised EGP1.41 billion (approximately USD185.4 million) through the offering of 12,984,565 new ordinary shares, representing 11% of the total share capital.
